Why not just using the Sendmail RPM that comes with RHEL3 ES?

ftp://ftp.redhat.com/pub/redhat/linux/updates/enterprise/3ES/en/os/SRPMS/sendmail-8.12.11-3.3.src.rpm

As the license owner you get it via updates.
